Licence Terms
FacFlow

These FacFlow Licence Terms form part of the Agreement made by the Client with UBID and govern the Client's use of the site at www.ulsterbank.ie/invoicefinance

1 DEFINITIONS
Agreement: A debt purchase facility made between the Client and UBID or another company in NatWest Group.
Message: Any message or data transmitted through the site using the allotted activation codes and passwords including requests for Prepayments, Offers and Notifications.
UBID: Ulster Bank Ireland DAC (company number 25766)

2 USE OF THE SITE
2.1 The Client may use the site for the purposes of the Agreement.
2.2 The Client will appoint an administrator to manage the Client's use of the site. The administrator will be responsible for authorising and supervising users of the site on behalf of the Client.
2.3 UBID may act on any Message even if the sender lacked the requisite authority.

3 CLIENT'S OBLIGATIONS
The Client will:
3.1 ensure that all Messages are correct and complete;
3.2 prevent unauthorised access to the site;
3.3 keep secret and confidential the method of operation of the site, its contents, all activation codes, passwords and security procedures;
3.4 tell UBID immediately if the Client:
3.4.1 suspects any misuse of the site or any breach of security;
3.4.2 suspects that there has been any failure or delay in receiving any Message or any error in a Message and the Client will assist UBID to remedy the problem;
3.4.3 receives a Message that is not intended for the Client and the Client will delete the Message immediately;
3.4.4 discovers that any information on the site is incorrect.
3.5 make its own business arrangements to back up the Client's data in case of any failure, suspension or withdrawal of the site.

4 MESSAGES
UBID will maintain a record of Messages which will, in the absence of obvious error, be conclusive evidence of the content and times of Messages sent or received.

5 EXCLUSIONS OF GUARANTEES AND IMPLIED TERMS
5.1 UBID does not guarantee that:
5.1.1 the information on the site is accurate or current;
5.1.2 messages will be transmitted without delays, errors or loss of information;
5.1.3 the site will be accessible continuously;
5.1.4 the site is free from viruses.
5.2 All implied terms and conditions in relation to the Client's use of the site are excluded.

6 TERMINATION
6.1 UBID may at any time suspend or withdraw the operation of the site or the Client's access to the site.
6.2 The Client's right to use the site will end automatically on the termination of the Agreement.

7 INTELLECTUAL PROPERTY
The site and all its content (including software) are the property of Ulster Bank Ireland DAC and its suppliers and are protected by copyright and other intellectual property rights.

8 CHANGES TO THE FACFLOW LICENCE TERMS AND THE SITE
UBID may at any time amend or replace the content and functionality of the site and by giving 30 days' notice make changes to these FacFlow Licence Terms.
